1. Introduction
X LAZAAR Industry (“X LAZAAR Industry,” “X LAZAAR Apparel Industry,” “we,” “our,” or “us”) recognizes the importance of protecting the intellectual property, proprietary information, and confidential business materials entrusted to us by our clients.
This Intellectual Property & Confidentiality Policy explains how we handle client-submitted designs, artwork, branding materials, technical specifications, and other confidential information throughout the quotation, product development, and manufacturing process.
By submitting information, files, or project materials to X LAZAAR Industry, you acknowledge and agree to the terms outlined in this Policy.
2. Respect for Intellectual Property Rights
We respect the intellectual property rights of our clients, partners, suppliers, and third parties.
We understand that apparel designs, logos, branding elements, artwork, product concepts, technical specifications, and related materials often represent significant investments of time, creativity, and business resources.
Protecting these materials is an important part of our relationship with every client.
3. Ownership of Client Materials
All intellectual property submitted by clients remains the exclusive property of the respective owner.
This includes, but is not limited to:
- Logos
- Brand identities
- Artwork
- Apparel designs
- Product concepts
- Technical drawings
- Tech packs
- Product specifications
- Patterns
- Marketing materials
- Packaging designs
- Labels and tags
- Digital files
- Brand assets
Submission of materials to X LAZAAR Industry does not transfer ownership, licensing rights, copyrights, trademarks, patents, or other intellectual property rights to us.
Clients retain all ownership rights unless otherwise agreed in writing.
4. Use of Submitted Materials
Client-submitted materials may only be used for purposes directly related to the requested project, including:
- Project evaluation
- Quotation preparation
- Product development discussions
- Sample development
- Manufacturing preparation
- Production execution
- Quality control
- Packaging and delivery requirements
We do not intentionally use client-submitted materials for unrelated projects or commercial purposes without authorization.
5. Confidentiality Commitment
X LAZAAR Industry treats client information and project materials as confidential.
Reasonable efforts are made to protect:
- Design concepts
- Tech packs
- Product specifications
- Manufacturing requirements
- Business information
- Branding strategies
- Pricing discussions
- Artwork and creative assets
Access to project-related information is limited to personnel, contractors, and service providers who reasonably require access for the completion of requested services.
6. Protection of Design Files
Clients may submit files including:
- PSD
- PNG
- JPG
- JPEG
These files may contain proprietary information, confidential concepts, and intellectual property.
We implement reasonable administrative, technical, and organizational measures to help protect submitted files from unauthorized access, disclosure, alteration, or misuse.
However, no electronic system can be guaranteed to be completely secure, and clients acknowledge the inherent risks associated with digital communications and file transmission.
7. Unauthorized Reproduction
X LAZAAR Industry does not intentionally reproduce, manufacture, distribute, or sell products based on client-submitted designs without authorization from the client.
We do not knowingly use a client’s proprietary design, logo, artwork, or branding materials for the benefit of another client.
8. Client Responsibilities
Clients are responsible for ensuring that materials submitted to X LAZAAR Industry:
- Are owned by the client; or
- Are used with proper authorization and licensing.
By submitting project materials, clients represent and warrant that:
- They possess the necessary rights to use the materials.
- The materials do not infringe upon the intellectual property rights of any third party.
- The materials do not violate applicable laws or regulations.
Clients remain solely responsible for any claims arising from unauthorized use of third-party intellectual property.
9. Right to Refuse Infringing Projects
X LAZAAR Industry reserves the right to refuse, suspend, or terminate discussions or services related to any project that appears to:
- Infringe trademarks
- Infringe copyrights
- Infringe patents
- Violate intellectual property laws
- Misappropriate proprietary information
- Involve counterfeit products
- Violate applicable regulations
We may request additional information or proof of ownership where appropriate.
10. Portfolio and Marketing Use
X LAZAAR Industry will not publicly display confidential designs, unreleased products, or proprietary project information without appropriate authorization.
Where permission has been granted, completed products may be featured in:
- Portfolios
- Case studies
- Marketing materials
- Social media content
- Website galleries
Clients may request that completed projects remain confidential, and we will make reasonable efforts to honor such requests.
11. Third-Party Service Providers
In certain situations, project information may be accessed by trusted service providers involved in:
- Customer relationship management
- File storage
- Business communications
- Production support
- Logistics and shipping
Such access is limited to information reasonably necessary to perform the relevant services.
12. Non-Disclosure Agreements (NDAs)
Where required, X LAZAAR Industry may enter into separate Non-Disclosure Agreements (NDAs) with clients.
If a signed NDA conflicts with any provision of this Policy, the terms of the signed NDA shall govern the specific project to the extent of the conflict.
13. Limitation of Liability
While we take reasonable measures to protect confidential information and intellectual property, X LAZAAR Industry cannot guarantee absolute security.
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from:
- Unauthorized access beyond our reasonable control
- Cybersecurity incidents
- Third-party actions
- Internet transmission risks
- Events outside our reasonable control
Nothing in this section limits liability where such limitation is prohibited by applicable law.
14. Changes to This Policy
X LAZAAR Industry reserves the right to update, modify, or replace this Intellectual Property & Confidentiality Policy at any time.
Any updates will be published on this page with a revised effective date.
Continued use of our services following any updates constitutes acceptance of the revised Policy.
